Kiditop's general terms and conditions of sale and reimbursement

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between the KIDITOP brand (hereinafter referred to as "the seller"); KIDITOP is a brand registered with the INPI by LE LIEGE BLEU sas , a company specialising in the manufacture of various objects made of wood and cork, and any private customer (hereinafter referred to as "the Consumer Customer") or professional customer (hereinafter referred to as "the Professional Customer") placing an order for Products via its website.

By placing an order on the site, the Customer acknowledges that he/she has read these GTC and accepts them unreservedly. These GTC may be modified at any time, the applicable GTC being those in force at the date of the order.

Article 1 - Definitions

Consumer customer Any natural person who places an order on the Kiditop website for personal and non-professional use, in accordance with the preliminary article of the Consumer Code.

Professional Customer
Any natural or legal person acting for the purpose of entering into a contractual relationship with a third party.
as part of its commercial, industrial, craft, liberal or agricultural activity.

Product
: Everything Kiditop has to offer, including eco-friendly, customisable wooden toys for people aged 3 to 99.

Ordering
Any request for purchase of Product made by the Customer via the means of ordering available on the site Kiditop.

Article 2 - Purpose and scope

These GTC aim to define the rights and obligations of the parties in connection with the online sale of products offered by Kiditop. They apply to all sales concluded through the website Kiditop, whether the customer is a consumer or a professional.

Any departure from these GTC must be a prior written agreement between Kiditop and the Customer. These GTC prevail over any other document, such as general conditions of purchase of the Customer, unless otherwise expressly agreed.

Article 3 - Ordering

3.1 Ordering process

Orders can only be placed on the www.kiditop.com. The Customer selects the desired Products and validates his/her order after checking the order summary. The validation of the order entails the obligation of payment by the Customer. The sale is considered concluded upon receipt of order confirmation sent by e-mail by Kiditop.

The Vendor reserves the right to cancel or refuse any order from a Customer with whom there is a previous dispute or whose personal details are incomplete or inaccurate.

3.2 B2B orders

For sales to professionals, orders may be subject to prior agreement in the form of a quotation. Any order placed by a Professional Customer implies its acceptance without reservation of the GTCS, and any special conditions mentioned in the quote or contract. Kiditop reserves the right to require a minimum order for professional customers and to set specific delivery terms.

Article 4 - Prices and terms of payment

4.1 Prices

Product prices are quoted in euros (€). For sales to Consumers, prices include VAT at the rate applicable on the day the order is placed. For Professional Customers, prices are indicated exclusive of tax (HT), with the addition of VAT at the current rate.

The Seller reserves the right to change its prices at any time.

4.2 Terms of payment

The Customer may pay for his order by credit card (Visa, Mastercard, American Express), by bank transfer, or any other means of payment available on the site. To guarantee the security of transactions, Kiditop uses the services of Stripe, a third-party company specialising in the processing of online payments. Stripe is responsible for managing and securing the Customer's bank details, in accordance with international payment security standards (PCI-DSS certification).

Payment information is not stored by Kiditop, but directly by Stripe, which acts as a secure intermediary between the Customer and the bank. By validating their order, customers accept the terms of use of Stripe, which can be found on their website.

Professional customers may benefit from specific payment terms, such as diberated or staggered payments, subject to express prior agreement with Kiditop.

Payment in full must be made before the Products are dispatched, unless special terms have been agreed for Professional Customers, who may in particular benefit from payment deadlines following a credit check via Stripe or any other designated payment service provider.

4.3 Default of payment

Any payment incident authorizes Kiditop to suspend or cancel orders in progress without prior notice, without prejudice to any other action of a judicial nature. For B2B sales, late payment penalties are applicable, calculated on the basis of an interest rate equal to three times the legal interest rate, in accordance with article L.441-10 of the French Commercial Code.

Article 5 - Delivery

5.1 Delivery times

Delivery times are indicated on the site or when the order is confirmed.

These times are indicative and may vary depending on the availability of products or logistical constraints. Kiditop undertakes to deliver the Products within a maximum period of 30 days from the order, except in cases of force majeure or special agreement with the Customer.

5.2 Delivery terms

Delivery costs are calculated according to the nature of the Products ordered, the delivery address and the chosen mode of transport. The Customer will be informed of the delivery costs before the final confirmation of the order.

The risks of loss or damage to the Products are transferred to the Customer upon receipt of the Products.

5.3 Complaints and receipt of Products

It is the Customer's responsibility to check the Products on receipt and to notify any anomaly, reservation or damage within 48 hours to the Seller, or directly to the carrier for Professional Customers, by registered letter with acknowledgement of receipt or directly by e-mail to the following address hello@kiditop.com.

Article 6 - Right of Withdrawal (B2C)

In accordance with article L. 221-18 of the French Consumer CodeIn order to exercise their right of withdrawal, Consumer Customers have a period of fourteen (14) calendar days from receipt of the Products to exercise their right of withdrawal without having to justify their decision or pay any penalties, with the exception of the cost of returning the Products.

The Product must be returned in its original packaging, in perfect condition, with all its accessories and documents. Kiditop undertakes to reimburse the sums paid, including delivery costs, within fourteen (14) days of receipt of the returned Product.

The right of withdrawal does not apply to personalised or custom-made Products.

Article 7 - Guarantees and Conformity

7.1 Legal Warranty of Conformity

In accordance with articles L. 217-4 et seq. of the French Consumer CodeKiditop guarantees that the Products conform to the description provided and are free from manufacturing defects. In the event of a lack of conformity, the Customer may demand the repair or replacement of the Product.

7.2 Hidden defects guarantee

Under Articles 1641 et seq. of the Civil Code, Kiditop guarantees its products against hidden defects making them unfit for use. The Customer may choose between the cancellation of the sale or a reduction in price in accordance with Article 1644 of the Civil Code.

7.3 Warranty exclusions (B2B)

Professional Customers do not benefit from the same guarantees as Consumers, except in the case of mandatory legal provisions. Claims for apparent defects must be made within 10 days of delivery, in accordance with article 1642 of the French Civil Code.

Article 8 - Liability

Kiditop can not be held responsible for indirect, immaterial or moral, resulting from misuse of products or failure to contractual obligations on the part of the Customer.

Kiditop can not be held responsible in case of force majeure, as defined by Article 1218 of the Civil Code, or in case of delay or non-delivery due to causes beyond its control (strikes, bad weather, pandemic, etc.).

Article 9 - Force Majeure

Kiditop can not be held responsible for any breach of its contractual obligations in case of force majeure, as defined by the case law of the French courts. Are considered in particular as force majeure: natural disasters, fires, blockages of means of transport, strikes, pandemics, or any other circumstance beyond the reasonable control of Kiditop.

Article 10 - Protection of Personal Data

Kiditop undertakes to comply with applicable regulations on the protection of personal data, including the General Regulation on Data Protection (RGPD). The information collected is strictly necessary for the management of orders and is not transmitted to any third party without the consent of the Customer.

Article 11 - Intellectual property

All elements of the Kiditop site, whether text, graphics, logos, images or other content, are the exclusive property of Kiditop and / or its partners and are protected by laws relating to intellectual property. Any unauthorised reproduction or use is strictly prohibited.

Article 12 - Applicable law and competent jurisdiction

These GCS are governed by French law. Any dispute relating to the interpretation or performance of these GCS shall be submitted to the competent French courts, unless otherwise stipulated.

For Consumer Customers, any dispute that cannot be resolved amicably may be referred to mediation in accordance with article L. 612-1 of the French Consumer Code.

Article 13 - Mediation (B2C)

In accordance with articles L. 611-1 et seq. of the French Consumer CodeIn the event of a dispute that has not been resolved amicably, the Consumer Customer may refer the matter to a consumer mediator free of charge in an attempt to find an amicable solution.

Article 14 - Specific B2B clauses

Professional Customers may be subject to special conditions under individually negotiated agreements (contracts, quotations). These conditions prevail over these GTC. Kiditop reserves the right to subject certain orders to a deposit of at least 30% of the total price including VAT or a prepayment.
